The Netherlands
Dutch Chamber of Commerce number: 60734523
VAT identification number: NL001222834B90

2. Definitions
For the purposes of these Terms:
Shailodesigns: Burgzorg Service, trading as Shailodesigns, acting as the seller, producer or contractor;
customer: any natural person or legal entity that enters into an agreement with Shailodesigns;
consumer: a customer acting primarily for private purposes;
business customer: a customer acting for business or professional purposes;
standard product: a product that has not been manufactured according to the customer’s individual specifications and is not clearly intended for a specific person;
personalised or made-to-order product: a product that has not been prefabricated and is designed, modified, printed, cut or produced according to the customer’s individual choices or specifications, or is clearly intended for a specific person;
customer file: any design, logo, photograph, image, text or other file supplied by the customer;
service: design work, installation, application of graphics or stickers, promotional work or other work performed by Shailodesigns;
agreement: any agreement for the sale of products or performance of services by Shailodesigns.
3. Applicability
These Terms apply to:
-
the use of shailodesigns.nl;
-
orders placed through the online store;
-
personalised products;
-
design and printing assignments;
-
DTF transfers and textile printing;
-
stickers and magnets;
-
installation, application and promotional work;
-
quotations and assignments that refer to these Terms.
Before entering into an agreement, the customer is given the opportunity to read, save and download these Terms.
Separate written agreements, quotations or specific product information take precedence where they differ from these Terms.
Mandatory statutory consumer rights remain fully applicable and are not limited by these Terms.
4. Offers and product information
Shailodesigns describes its products and services as fully and accurately as possible.
Where applicable, an offer states:
-
the main characteristics;
-
dimensions and quantity;
-
material or product type;
-
price and VAT;
-
personalisation costs;
-
shipping costs;
-
expected delivery time;
-
available product options;
-
special usage or care instructions.
Images and digital previews are intended to represent the product as accurately as possible. Colours may vary slightly due to screen settings, lighting, materials and the production process used.
Minor technically unavoidable differences in colour, cutting line, positioning or dimensions do not automatically constitute a defect, provided that the product still conforms to the agreed specifications and what the customer could reasonably expect.
Shailodesigns is not bound by an obvious clerical, calculation or pricing error when the customer should reasonably have understood that an error had occurred. Where the customer could reasonably rely on the displayed price, that price will not subsequently be changed without a valid reason.
5. Formation of the agreement
Before completing an order, the customer checks:
-
the selected products;
-
sizes, colours and quantities;
-
personalisation choices;
-
uploaded files;
-
delivery and billing information;
-
the total price;
-
shipping costs;
-
the applicable terms.
The agreement is concluded when the customer completes the order with an obligation to pay and Shailodesigns confirms the order electronically.
If an automated message only confirms that an order has been technically received, Shailodesigns may still check the order for feasibility, availability, legality and obvious errors.
If an order cannot be fulfilled because of unavailability, unlawful content, an obvious error or another lawful reason, the customer will be informed as soon as possible. Any amounts already paid to which Shailodesigns is not entitled will be refunded.
Shailodesigns may request additional information where this is necessary to fulfil an order safely and correctly.
6. Quotations
Where applicable, a quotation includes:
-
a description of the product or service;
-
quantities and specifications;
-
price and VAT;
-
expected performance or delivery period;
-
any additional costs;
-
the validity period of the quotation.
A quotation becomes an agreement after the customer accepts it within the stated validity period and Shailodesigns confirms the assignment.
Changes or additions following acceptance may affect the price and schedule. Shailodesigns will discuss this with the customer before carrying out additional work.
7. Prices
All consumer prices are displayed in euros and include VAT, unless expressly stated otherwise.
Shipping costs, personalisation charges and selected additional options are displayed before the order is completed.
For business quotations, a price may be stated excluding VAT if this is clearly indicated.
The price displayed when the order is completed applies to that order, except in the event of an obvious error.
Discounts, promotional codes and special offers are subject to their stated conditions. They cannot be applied retrospectively unless Shailodesigns agrees otherwise.
8. Payment
The available payment methods are displayed during checkout.
For certain personalised products or services, performance begins only after:
-
payment has been processed;
-
all required information has been received;
-
the customer file has been received;
-
any design or digital preview has been approved.
If a payment is refused or reversed, Shailodesigns may suspend performance until it has been established that valid payment has been made.
If a consumer is in arrears, statutory interest and debt-collection costs will only be charged after a free statutory payment reminder providing a period of 14 days has been sent and payment has not been made on time.
Additional payment arrangements for business customers may be included in the quotation or invoice.
9. Personalised products and design checks
When using DORO Custom Product Designer, the customer must check the following before completing the order:
-
spelling and punctuation;
-
names and text;
-
sizes and quantities;
-
colours and product variants;
-
positioning and scale;
-
image quality;
-
transparent backgrounds;
-
cutting lines and contours;
-
the complete digital preview.
Completing the order constitutes approval of the design displayed in the product designer at that time.
If Shailodesigns separately sends a digital preview or proof, production will begin only after the customer has approved it, unless otherwise agreed in writing.
Changes following approval may result in reasonable additional costs and an adjusted delivery time. The customer will be informed before additional work is carried out.
An error that was already present in a design supplied or approved by the customer and was subsequently reproduced correctly is not considered a production error by Shailodesigns.
Shailodesigns remains responsible if, due to a production or processing error, the product differs from the approved design, agreed specifications or quality that the customer could reasonably expect.
10. Customer-file requirements
The technical file requirements stated on the relevant product page form part of the product information.
For DTF transfers and comparable printed products, we generally recommend:
-
a PNG file with a transparent background;
-
RGB colour mode;
-
approximately 300 ppi at the final print size;
-
correct final dimensions;
-
sharp and legible images;
-
no heavily compressed screenshots or WhatsApp images.
Shailodesigns may warn the customer if a file appears to be technically unsuitable.
If, following a clear warning, the customer nevertheless instructs Shailodesigns to produce the file without changes, the customer is responsible for quality problems directly caused by the inadequate file quality.
Shailodesigns remains responsible for errors in its own production process and for delivering a product that conforms to the agreement.
11. Rights relating to supplied materials
The customer confirms that they are authorised to use all supplied text, photographs, images, logos, fonts and designs for the order.
The customer must ensure that supplied material does not infringe:
-
copyrights;
-
trademark rights;
-
image or portrait rights;
-
design rights;
-
privacy rights;
-
other third-party rights.
By supplying material, the customer grants Shailodesigns limited permission to use it for:
-
checking and technically editing the file;
-
creating a digital preview;
-
production;
-
delivery;
-
handling a complaint or repeat order.
Shailodesigns will not use customer material in advertising, as a portfolio item or in a social-media post without separate permission.
If a third party submits a legitimate claim that arises directly from material supplied by the customer without the required permission, the customer is responsible for the consequences to the extent that these can reasonably and legally be attributed to the customer.
12. Prohibited content
Shailodesigns may refuse a design or order if its content:
-
is unlawful;
-
infringes third-party rights;
-
is threatening or discriminatory;
-
incites violence or hatred;
-
is misleading or fraudulent;
-
could reasonably cause serious harm to Shailodesigns or others.
The customer will be informed if an order cannot be fulfilled for one of these reasons.
Any refund will be handled in accordance with the law, the circumstances and any work already lawfully performed.
13. Designs created by Shailodesigns
Copyright in an original design created by Shailodesigns remains with Burgzorg Service unless the copyright is expressly transferred in writing.
Payment for design work does not automatically transfer copyright.
Following full payment, the customer receives the right of use agreed in the order, assignment or quotation.
Without additional permission, a Shailodesigns design may not be resold outside the agreed use, transferred to third parties, substantially modified or commercially exploited.
A transfer of copyright or a more extensive right of use may be agreed separately in writing.
14. Production and cancellation of made-to-order products
Personalised and made-to-order products are generally not covered by the statutory right of withdrawal when they are manufactured according to individual specifications or are clearly personal in nature.
If you wish to cancel a personalised order, please contact us as soon as possible.
If production has not yet started and no irreversible work has been performed or costs incurred, Shailodesigns may voluntarily agree to cancellation.
If design, preparation or production work has already been carried out, Shailodesigns may charge reasonable and demonstrable costs. The customer will be informed of how these costs have been calculated.
This does not limit the customer’s statutory rights if Shailodesigns delivers an incorrect, damaged or defective product.
More information is available in our Return and Refund Policy.
15. Delivery and delivery times
Orders within the Netherlands are generally shipped with Track & Trace through PostNL or another carrier stated during checkout.
The expected total processing and delivery time within the Netherlands is generally 3 to 5 working days, calculated from the time when:
-
payment has been processed;
-
all required information has been received;
-
the file is ready for production;
-
any design has been approved.
Delivery may take longer because of quantities, file corrections, busy periods, the selected finish, special dimensions or other custom requirements.
For deliveries outside the Netherlands, the available shipping methods, costs and estimated delivery times are displayed during checkout or in the product information.
A stated delivery time is a reasonable estimate and not a guaranteed strict deadline unless a fixed delivery date has expressly been agreed or the circumstances show that timely delivery is essential.
In the event of a delay, the customer will be informed as soon as possible. Consumers’ statutory rights relating to late delivery remain fully applicable.
16. Shipping costs
A fixed shipping rate of €7.00 per order applies to standard shipping to an address within the Netherlands.
Orders with a product value of €100.00 or more are shipped free of charge within the Netherlands.
A fixed shipping rate of €13.95 per order applies to standard shipping to Belgium, Germany or Luxembourg.
Orders with a product value of €150.00 or more are shipped free of charge to Belgium, Germany or Luxembourg.
The product value is calculated after any discount codes have been applied and before shipping costs are added.
Free shipping applies to the standard shipping method selected by Shailodesigns. Express shipments, special delivery services, exceptionally large products and other additional options are not automatically included.
The shipping costs displayed during checkout are decisive.
More information is available in our Shipping Policy.
17. Delivery address and reshipment
The customer is responsible for entering and checking the delivery address correctly.
If a parcel is returned because of:
-
an incorrect or incomplete address supplied by the customer;
-
failure to collect the parcel on time;
-
another demonstrable cause attributable to the customer;
Shailodesigns may charge the reasonable cost of reshipping the parcel.
The customer will be informed before the parcel is shipped again.
If Shailodesigns processed the address incorrectly, Shailodesigns will cover the cost of correcting the error and reshipping the parcel.
18. Risk during shipping
For consumers, Shailodesigns bears the risk of loss or damage until the order has been received by the consumer or a third party appointed by the consumer.
If a parcel is lost or damaged while being shipped to the consumer, please contact Shailodesigns. Shailodesigns will investigate the shipment with the carrier and remains responsible for providing an appropriate solution.
The consumer is not required to resolve the dispute directly with PostNL or another carrier.
If the consumer independently selects and contracts a carrier outside the shipping options offered by Shailodesigns, the statutory point at which risk transfers may be different.
19. Right of withdrawal for products
Consumers generally have a statutory withdrawal period of 14 days after receiving a standard product.
The right of withdrawal generally does not apply to products made according to individual specifications or that are clearly personal in nature, including:
-
clothing featuring a supplied design, name or personalised text;
-
DTF transfers produced using customer files;
-
stickers or magnets featuring an individual design, text, dimensions or shape;
-
other individually manufactured products.
Selecting only a standard size, standard colour, quantity or fixed product option does not automatically make a product personalised.
Consumers may exercise their right of withdrawal using the online withdrawal function, model withdrawal form, email or another unequivocal statement.
The complete conditions, exceptions, return costs and reimbursement periods are set out in our Return and Refund Policy.
20. Withdrawal period for services
If a consumer enters into an agreement for a service online or away from Shailodesigns’ business premises, a statutory withdrawal period of 14 days may apply.
If the consumer expressly requests that the service begins during the withdrawal period and subsequently withdraws from the agreement, Shailodesigns may charge a proportionate amount for the work performed up to the time of withdrawal, provided that the customer was correctly informed in advance.
If the service has been fully performed during the withdrawal period with the consumer’s prior express consent and acknowledgement that the right of withdrawal will be lost once the service has been fully performed, the right of withdrawal ends after full performance.
Without the required express request or required information, no charges will be made where such charges are prohibited by law.
21. Statutory guarantee
The customer is entitled to receive a product that conforms to the agreement.
A product may be defective if it:
-
is delivered damaged;
-
is incomplete;
-
has been produced incorrectly;
-
differs from the approved design;
-
does not have the characteristics the customer could reasonably expect.
If a complaint is valid, Shailodesigns will provide a repair, replacement production or replacement product within a reasonable period and at no cost.
If repair or replacement is impossible, is not completed within a reasonable period or cannot reasonably be required of the consumer, a price reduction or termination of the agreement with a refund may apply.
A minor defect that does not justify termination may result in an appropriate price reduction.
The Netherlands does not have one fixed statutory guarantee period that applies to every product. The period for which a product should remain satisfactory depends on factors including:
-
the type of product;
-
the price;
-
the information provided at the time of sale;
-
the agreements made;
-
normal use and maintenance.
The statutory guarantee also applies to personalised and made-to-order products.
22. Use and maintenance
The customer must use and maintain the product in accordance with the supplied instructions.
Damage demonstrably caused exclusively by incorrect use does not have to be repaired free of charge. This may include:
-
washing or pressing contrary to clear care instructions;
-
using an incorrect temperature, pressure or pressing time for DTF transfers;
-
applying stickers to an unsuitable, dirty, greasy or damp surface;
-
using unsuitable or aggressive cleaning products;
-
damage caused by the customer or a third party.
Normal wear and tear consistent with the type of product and its reasonably expected service life does not automatically constitute a defect.
This provision does not limit the statutory guarantee if the product was already defective upon delivery or if the supplied instructions were incorrect or inadequate.
23. On-site services and work
For design, installation, application, promotional and other on-site work, the work, price, location and schedule will be recorded in a quotation or separate agreement.
The customer must provide, in good time:
-
correct information about the location and surface;
-
safe and reasonable access to the workplace;
-
any necessary permission from the owner or manager;
-
a sufficiently clean and suitable surface;
-
accessibility at the agreed time.
If additional work becomes necessary during performance that could not reasonably have been anticipated in advance, Shailodesigns will discuss any additional costs and scheduling consequences before carrying out that work.
If the work cannot proceed because of a demonstrable circumstance attributable to the customer, reasonable and demonstrable costs for reserved time, travel or preparatory work may be charged, provided that this was agreed in advance or is reasonable.
24. Complaints
Complaints can be submitted by email to info@shailodesigns.nl.
Please include:
-
your name;
-
the order or quotation number;
-
a clear description of the complaint;
-
relevant photographs of the product, packaging or shipping label.
Photographs may help us assess a complaint more quickly. Being unable to provide photographs does not automatically mean that the complaint will be rejected.
Shailodesigns aims to provide a substantive response within 14 days. If more time is required, the customer will receive an acknowledgement within this period together with an indication of how the complaint will be handled.
Requesting additional information must not unreasonably restrict the customer’s statutory rights.
25. Liability
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.
For consumers, Shailodesigns is liable in accordance with the applicable statutory rules.
Shailodesigns is not responsible for damage caused exclusively by:
-
incorrect information supplied by the customer;
-
an error in an approved customer file;
-
use for which the product was not intended;
-
failure to follow clear and correct instructions;
-
material supplied without the necessary rights or permission.
This applies only to the extent that the damage can reasonably be attributed to that circumstance.
For business customers, liability for directly attributable loss is limited to the amount paid excluding VAT for the relevant part of the assignment.
Shailodesigns is not liable to business customers for indirect loss, including consequential loss, loss of profit or loss of anticipated savings.
These limitations do not apply in the event of intentional conduct or deliberate recklessness by Shailodesigns, personal injury or death for which Shailodesigns is legally liable, or where limitation is prohibited by law.
26. Force majeure
Force majeure means a circumstance beyond the reasonable control of Shailodesigns that makes performance temporarily or permanently impossible, including:
-
a serious disruption involving a carrier or supplier;
-
a power, internet or network outage;
-
failure of essential production equipment;
-
fire, flooding or another emergency;
-
government action;
-
war or serious civil disruption;
-
illness where no reasonable replacement is available.
Shailodesigns will inform the customer as soon as possible and attempt to limit the consequences.
If the force majeure continues for an unreasonable period or performance becomes permanently impossible, the parties may terminate the agreement in whole or in part with respect to the unperformed portion.
The consumer remains entitled to reimbursement of amounts paid for products or services that will not be supplied as a result of the termination.
27. Privacy
Shailodesigns processes personal data in accordance with the General Data Protection Regulation and its Privacy Policy.
28. Changes to these Terms
Shailodesigns may amend these Terms for future orders and assignments.
For an existing agreement, the Terms that applied when the agreement was concluded will continue to apply unless:
-
the change is required by law;
-
the change is solely beneficial to the customer;
-
both parties agree to the change in writing.
The latest version will be published on shailodesigns.nl.
29. Invalid provisions
If a provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain valid.
To the extent permitted by law, the invalid provision will be replaced or interpreted in a manner that reflects its original purpose as closely as possible while taking account of the customer’s statutory rights.
30. Governing law and disputes
Agreements with Shailodesigns are governed by Dutch law.
Mandatory consumer protections of the country in which a consumer habitually resides remain applicable where required by law.
In the event of a dispute, the customer and Shailodesigns will first attempt to reach a solution together.
If the dispute cannot be resolved by mutual agreement, it may be submitted to the court having jurisdiction under the law. A consumer will not be required to bring proceedings exclusively before a court chosen by Shailodesigns.
